1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an organisation ("you", "Customer"), and Next Cloud Services Pty Ltd ("GoVerse", "we", "us"), governing your use of the GoVerse platform, website (goverse.ai), and related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation.

To access the Services, you must register for an account. You agree to:

The person registering is the Account Owner and contracting party. If registering on behalf of an employer, the employer is the Account Owner.

4. Subscription and Payment

4.1 Plans and pricing

The Services are offered under subscription plans as published at goverse.ai/pricing. We reserve the right to change pricing with 30 days' advance notice.

4.2 Free trial

New accounts receive a free trial period. No payment is required during the trial. At trial end, you must add a payment method to continue using the Services. If no payment method is provided, AI features will be suspended.

4.3 Billing

Subscriptions are billed monthly per seat. Payment is processed by Stripe. You authorise us and our payment processors to charge all applicable fees to the payment method on file. All fees are in USD unless otherwise stated.

4.4 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

4.5 Refunds

Fees are non-refundable except where required by applicable law (including Australian Consumer Law).

6.1 Ownership

You retain all ownership rights to data you upload to the Services ("User Content"), including candidate resumes, profiles, job descriptions, and communications. GoVerse does not claim ownership of your User Content.

6.2 License grant

You grant GoVerse a worldwide, non-exclusive, royalty-free license to host, store, process, and display your User Content solely for the purpose of providing the Services to you. This license terminates when you delete the content or close your account.

AI outputs generated by the Services (screening scores, search rankings, generated content) are recommendations only. You are responsible for all final hiring decisions. GoVerse does not guarantee the accuracy, completeness, or fitness for purpose of AI outputs.

We do not use your User Content to train AI models. Your data is processed for inference only and is not used to improve our models or shared with AI providers for training purposes.

7. Intellectual Property

The Services, including all software, algorithms, interfaces, designs, documentation, and trademarks, are the exclusive property of GoVerse or its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

8. Integrations and Third-Party Services

The Services may integrate with third-party systems (ATS platforms, email providers, LinkedIn). Your use of third-party services is governed by their respective terms. GoVerse is not responsible for third-party service availability, performance, or content.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to provide advance notice of planned downtime.

10. Termination

You may terminate your account at any time by cancelling your subscription and contacting support.

We may suspend or terminate your access if:

10.3 Effect of termination

Upon termination: (a) your license to use the Services ends immediately; (b) you must cease all use; (c) you have 60 days to export your data; (d) after the grace period, all data is permanently deleted.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that: (a) the Services will be uninterrupted or error-free; (b) AI outputs will be accurate or complete; (c) the Services will meet your specific requirements; (d) any defects will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOVERSE AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claim arising from these Terms or the Services shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability under Australian Consumer Law for guarantees that cannot be excluded.

13. Indemnification

You agree to indemnify and hold harmless GoVerse from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your breach of these Terms; (c) your violation of any third-party rights; (d) User Content you upload.

14. Governing Law and Disputes

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

Informal resolution: Before initiating formal proceedings, the parties agree to attempt to resolve any dispute informally for at least 30 days through good-faith negotiation.

We may update these Terms from time to time. Material changes will be notified to active users via email at least 30 days before taking effect. Continued use of the Services after changes constitutes acceptance of the revised Terms.
